| NON-COMPETE AGREEMENT |
This Non-Compete Agreement (the “Agreement”) is made and effective this 4th day of April, 2019,
| BETWEEN: | Wood Crapo LLC (the 'First Party'), a corporation organized and existing under the laws of the state of California with its head office located at: 2500 Terminal Tower, 50 Public Square, Sacramento, California 46107 |
| AND: | Weatherman Time, Inc (the 'Second Party'), a corporation organized and existing under the laws of the state of Ohio with its head office located at: 20 North Broadway, Suite 1800, Cleveland, Ohio 44113-2241 |
FOR GOOD CONSIDERATION, the receipt of which is hereby acknowledged, the undersigned First party agrees not to compete with Second party, or its successors or assigns.
The term “not to compete” shall mean that the undersigned First party shall not directly or indirectly compete with the Company by serving as an officer, owner, partner, director, agent, employee or consultant to any firm or entity substantially engaged in a business similar or competitive to the business of the Second party.
